Corporate Governance

• Leading organisational restructures and the establishment of merged entities. As Chair-elect of the merged entity, led the amalgamation of the Ports of Bunbury, Albany and Esperance to become the Southern Ports Authority, identifying the material matters that needed to be addressed while containing risks, and ensuring compliance with local, state and federal laws and licences.
• As an experienced Board Chair and director have facilitated the development of strategic vision and direction for profit and non-profit organisations. This entailed guiding and advising senior executives in the vision’s development, and execution and devising monitoring mechanisms to enable the Board to oversee the implementation of the Strategic Plan.

Risk

• As a Non-Executive and Executive have managed assets and risk in strategic and project development. This included identifying the potential risks associated with assets in the execution of strategic objectives and planning infrastructure, trade development, capital acquisition and environmental projects.
• Planned, developed and implemented audit schedules and action plans, Board and Committee policies and procedures, business plans and action schedules with monitoring mechanisms for port authorities, water cooperatives and utilities, aged care facilities, smelter operations, non-profit organisations and international industry councils.
• Through my consultancy assisted companies in developing and determining their risk appetite, and risk management policies, established the Risk Management Committee and charters, prepared risk registers across all functions, maintained the risk registers and risk treatment plans and was Secretary to the Risk Management Steering Committee. As a result, the company has a robust and comprehensive risk management framework.

Audit

As an Exemplar Global certified associate auditor have carried out audits in areas of electricity generation facilities in WA including coal and gas power stations and renewable energy, including solar and wind.

She has extensive experience in conducting board and corporate governance audits.

Non-Executive Chairman, Deputy Chairman and Director of substantial government trading enterprise and have been a Non-Executive Director in for-profit and not-for-profit organisations for more than 25 years. Her Directorship experience crosses state, national and international sectors.

With a background in Civil Engineering, has extensive experience in the infrastructure, water, power, mining and transport sectors and a comprehensive understanding of the Federal, State and Local government planning and administration regimes.

Expertise encompasses independent directorships, financial, risk and asset management, strategic and business planning, compliance auditing and corporate governance.

Fellow and former Facilitator of the Australian Institute of Company Directors, and administers her own board advisory business providing advice on matters related to strategic, corporate governance, asset and risk management.
